My Business Plan

The following is a list of everything I plan to do with the funds I recieve from this website.

The idea, in a broad summary.

I want to start anĀ operating holding company. And underneath it, I plan to start many different subsidiaries / child companies. I plan to sell partial ownership to investors and to have the company recieve loans for business ventures. All these companies under the operating holding company, will funnel profits upwards back to the holding company to then continue funding where it needs.

The idea, more specifically.

Holding Company Overview and Growth Plan

I am starting a C-Corporation holding company that will own and operate multiple subsidiaries. The goal is to generate positive cash flow from the subsidiaries while maintaining centralized control and efficient tax management.

Key Objectives:

  • Own at least 80% of each subsidiary, allowing dividends to flow to the holding company with minimal tax.

  • Raise initial capital from friends, family, and accredited investors using private placements under SEC Regulation D.

  • Expand by creating additional subsidiaries that generate revenue and contribute to overall growth.

  • Scale further by offering shares through equity crowdfunding platforms like StartEngine, using SEC-compliant exemptions such as Regulation CF or Regulation A+.

  • Maintain centralized governance with a board of directors and corporate bylaws to ensure compliance, transparency, and long-term operational efficiency.

Benefits of Structure:

  • Risk is isolated to individual subsidiaries.

  • Consolidated tax planning allows profits and losses to be managed efficiently.

  • Clear ownership structure enables growth while keeping founders and the holding company in control.

  • Provides flexibility to raise capital privately or publicly as the business expands.

Compliance and Legal Considerations:

  • All offerings comply with federal and state securities laws.

  • Corporate formalities, including board oversight and proper filings, are maintained to protect owners and investors.

  • Ongoing SEC and tax reporting will be completed as required.

This structure positions the company to scale efficiently, attract investors, and maintain long-term control and profitability.
